5 Officers:

5.1 Designation and Number:
|
| The officers of the
Association shall be a President, a Secretary and a Treasurer,
each of whom shall be elected by the Board. Such other officers
and assistant officers as may be deemed necessary may be elected
or appointed by the Board, including a Vice President. Any two
or more offices may be held by the same person, except that the
offices of President and Secretary may not be held by the same
person.

5.2 Election and Term of Office:
|
| The officers of the
Association shall be elected annually by the Board of Directors
at the first Board meeting held after the start of the new
calendar year. If the election of officers is not held at such
meeting, such election shall be held as soon thereafter as a
Board meeting may conveniently be held. Each officer shall hold
office until the next annual meeting and until his or her
successor shall have been elected and qualified, unless he or she
resigns or is removed.

5.3 Removal:
|
| Any officer or agent elected or appointed by
the Board may be removed by the Board whenever in its judgment
the best interests of the Association would be served thereby,
but such removal shall be without prejudice to the contract
rights, if any, of the person so removed.

5.4 Vacancies:
|
| A vacancy in any office because of death,
resignation, removal, disqualification or otherwise may be filled
by the Board for the unexpired portion of the term.
